About these terms

These Terms of Use are an agreement between you and Slate Labs Ltd, a software company incorporated in Dubai, United Arab Emirates ("Slate Labs", "we"). They govern your access to and use of our website at slate-labs.com (the "Site").

By accessing or using the Site, you accept these terms in full. If you do not agree with them, please do not use the Site.

These terms cover the Site only. They are not the commercial agreement under which we license our software. Our CRM and trading platform are made available to brokers and proprietary trading firms under separate, privately negotiated written contracts. Those contracts — not this page — set out the commercial and SaaS terms of any engagement.

Who this site is for

Slate Labs is a software company. We develop and license a CRM and a trading platform to licensed and registered brokers and proprietary trading firms, as a white-label business-to-business product.

This Site is intended for those business customers and for people evaluating our software on their behalf. It is not directed at, and is not intended for, retail traders or investors. We do not solicit, onboard, advise, or accept retail traders or investors as customers.

Slate Labs is not a broker, dealer, exchange, clearing house, investment adviser, or financial institution, and is not regulated as one. We do not hold, custody, receive, or handle client or trader funds; we do not open or control trading accounts; and we do not execute, route, or facilitate trades. Each broker that deploys our software is solely responsible for its own regulatory compliance, client onboarding, suitability, execution, pricing, custody of funds, deposits and withdrawals, and the entire trading relationship with its clients. Any broker-branded deployment of the software is operated by, and is the responsibility of, that broker.

Permitted use and restrictions

You may use the Site for lawful purposes and in line with these terms. You may view its content for your own information and to learn about our software.

You agree not to misuse the Site. In particular, you must not scrape, crawl, harvest, or systematically extract its content; overload, disrupt, or interfere with the Site or its infrastructure; attempt to gain unauthorized access to any part of it or to related systems or accounts; reverse engineer, decompile, or otherwise attempt to derive the source of the Site; or use the Site for any unlawful, fraudulent, or harmful purpose.

We may suspend or restrict access to the Site, in whole or in part, if we reasonably believe these terms have been breached.

Intellectual property

The Site and everything on it — including its text, design, layout, graphics, and software — is owned by Slate Labs or its licensors and is protected by intellectual property laws. "Slate Labs"™ and the Slate Labs logo are trademarks of Slate Labs.

We grant you a limited, non-exclusive, non-transferable, revocable license to view and use the Site for the purposes described in these terms. No other rights are granted. You may not copy, reproduce, modify, distribute, or create derivative works from the Site or its content without our prior written permission.

Any third-party names, logos, and marks shown on the Site remain the property of their respective owners and are used for identification only.

No advice, no offer

Nothing on the Site is financial, investment, or trading advice, and nothing on it is an offer, recommendation, or solicitation to buy, sell, or hold any financial instrument.

The Site is provided "as is"

We work to keep the Site accurate, current, and available, but we provide it on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no warranties or representations of any kind, whether express or implied, about the Site or its content, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that any defects will be corrected, or that the content is complete or up to date. You use the Site at your own discretion and risk.

Limitation of liability

To the fullest extent permitted by law, Slate Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site.

For the avoidance of doubt, we are not liable for any trading losses or for any decision made or action taken on the basis of the Site or its content. Any commercial liability between Slate Labs and a broker is governed solely by the separate written agreement between us.

Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law.

Links to third-party sites

The Site may contain links to websites and resources operated by others. We provide these links for convenience only. We do not control, endorse, or take responsibility for third-party sites, their content, or their privacy and security practices. Visiting a linked site is at your own risk and subject to that site's own terms.

Changes

We may update, change, or remove parts of the Site at any time, and we may revise these terms from time to time. The current version always applies. The date at the top of this page shows when it was last updated.

Your continued use of the Site after a change takes effect means you accept the updated terms.

Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or with your use of the Site, are governed by the laws of the United Arab Emirates.

The competent courts of Dubai, United Arab Emirates, have exclusive jurisdiction over any such dispute or claim.
